The Yamaha is a 4 cylinder engine. The merc is a V6. The V6 will have more torque and will use a larger prop, which is better for control of the boat and torque. Appears that year 135 was the Optimax model, which is a more fuel-effiecient direct-injected engine than comparable carbed engines.

No question the V6 will have a lot more than 5 additional HP- I am not sure about that year being an Opti . If it is a carb 2.0 lt- it will be basically a 150 hp and a very good engine.
With all that said the Yammie is rock solid design also- just not as powerful.
If the merc is an Opti- I would not touch it. Check what used Optis sell for vs other motors- including carb mercs same age.

They are both 1997 model motors, the mercury is not a optics from what I can tell.

I do not think it is an Opti based on quick look- I had a 140 hp V4 O/B then switched over to a 150 V6 on same boat- hugh difference.
On the merc- suggest you check steering arm and lower mounts-yoke for corrosion. CC implys salt water use- the steering arms and lower yoke/mounts on that age merc were subject to corrosion. The corrosion can be stopped by using corrosion x or fluid film. Both products work.
